Agreement to Terms

By accessing or using BuyBiashara.com ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform.

These terms apply to all visitors, registered users, buyers, and sellers on the Platform.

Platform Description

BuyBiashara is an online marketplace that connects business sellers with potential buyers in Kenya. The Platform facilitates the listing, discovery, and inquiry process for business sales.

BuyBiashara does not act as a broker, agent, or party to any transaction. All business sales are conducted directly between buyers and sellers. The Platform provides the infrastructure and process support only.

Account Registration

To access full Platform features, you must create a verified account. You agree to:

  • Provide accurate and complete information when registering
  • Verify your email address before using buyer or seller features
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorised use of your account
  • Be responsible for all activity that occurs under your account

One account may be used for both buying and selling activities. You are not permitted to create multiple accounts.

Listing Rules for Sellers

Sellers agree to the following when creating and managing listings:

  • All information provided must be accurate, complete, and not misleading
  • You must own or have authorisation to sell the business being listed
  • Listing fees are non-refundable once admin review begins
  • Listings that are approved may not be deleted — they may be paused or marked as sold
  • Edited listings must return to admin review before changes are visible publicly
  • You must not use the Platform to list businesses you do not genuinely intend to sell

BuyBiashara reserves the right to reject, remove, or suspend any listing that violates these terms or is deemed unsuitable at our discretion.

Buyer Conduct

Buyers agree to the following when using the Platform:

  • You will not attempt to contact sellers outside of the Platform to circumvent the process
  • You will not share contact information, phone numbers, email addresses, or external links through the Platform messaging system
  • You will honour any Non-Circumvention and Non-Disclosure Agreement (NCNDA) you sign
  • Information received through NCNDA-gated listings is confidential and must not be shared with third parties
  • You will not use the Platform to gather competitor intelligence or for any purpose other than genuine business acquisition

Messaging and Communications

All buyer-seller communications must take place through the Platform messaging system. The system automatically blocks attempts to share:

  • Phone numbers
  • Email addresses
  • External website links

All blocked attempts are logged. Repeated violations may result in account suspension.

Payments

Listing fees are processed through Paystack. By making a payment you agree to Paystack's terms and conditions. BuyBiashara does not store card or payment details directly.

Listing fees are charged per listing submission. Fees are non-refundable once payment is confirmed and admin review begins. If a listing is rejected, the same fee covers one resubmission after corrections.

Intellectual Property

The BuyBiashara platform, including its design, code, content, and branding, is the intellectual property of BuyBiashara and its owners. You may not copy, reproduce, or use any part of the Platform without written permission.

By uploading content to the Platform (images, documents, descriptions), you grant BuyBiashara a non-exclusive licence to display that content on the Platform for the purpose of facilitating your listing.

Disclaimer of Warranties

BuyBiashara provides the Platform on an "as is" basis. We do not guarantee the accuracy of any listing information, the suitability of any business for sale, or the successful completion of any transaction.

We are not responsible for any losses arising from transactions conducted between buyers and sellers through or facilitated by the Platform.

Limitation of Liability

To the maximum extent permitted by Kenyan law, BuyBiashara's total liability to you for any claim arising from your use of the Platform shall not exceed the listing fee paid by you in the three months preceding the claim.

Termination

We reserve the right to suspend or terminate your account at any time if you breach these terms, engage in fraudulent activity, or behave in a manner that harms other users or the Platform's integrity.

Governing Law

These Terms of Service are governed by the laws of the Republic of Kenya. Any disputes shall be resolved through the appropriate Kenyan legal channels.

Changes to These Terms

We may update these terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the updated terms. We will notify registered users of material changes by email where possible.
