Our Commitment to Confidentiality

Confidentiality is central to how BuyBiashara operates. Business sales are sensitive transactions. Sellers need to know their information is protected. Buyers need to know the process is fair and structured.

This policy explains how the Platform protects confidential information at every stage of the buyer-seller process.

Default Anonymisation of Listings

Every listing on BuyBiashara is anonymised by default. Public visitors and logged-in buyers will not see:

  • The legal or trading name of the business
  • The exact street address (general area or neighbourhood is shown instead)
  • The business website or social media profiles
  • The name or personal contact details of the seller

This protection applies to all listings, both Simple Sale and Detailed Sale. The level of access granted beyond this base level depends on the sale type chosen by the seller.

Simple Sale Confidentiality

For Simple Sale listings, the following access model applies:

  • Public visitors: See teaser information only — anonymised description, location area, asking price, and annual revenue.
  • Logged-in users: See full business details including financials, assets, operational information, exact location (if enabled by seller), and website (if enabled by seller).
  • Seller contact disclosure: A logged-in buyer may click to reveal the seller's contact details. This action is logged with a timestamp and is visible to both the seller and the Platform admin.

Even for Simple Sale listings, all buyer-seller messaging is conducted through the Platform. Phone numbers, email addresses, and external links cannot be shared through the messaging system.

Detailed Sale Confidentiality

For Detailed Sale listings, a stricter access model applies:

  • Public visitors: See teaser information only.
  • Logged-in users (before NCNDA): See a fuller listing page but with the following information blurred or locked: exact location, website URL, recent financial performance, downloadable documents, and valuation report.
  • After NCNDA signing: The buyer's access is expanded to include the restricted information. Documents may require additional admin approval before release.

Seller contact details are not directly disclosed for Detailed Sale listings in the same way as Simple Sale. All interaction is managed through the Platform's admin-supported process.

NCNDA — Non-Circumvention Non-Disclosure Agreement

The NCNDA is a binding digital agreement that buyers must sign before accessing confidential information on Detailed Sale listings. By signing, the buyer agrees to:

  • Keep all disclosed information strictly confidential
  • Not share the information with any third party without written consent
  • Not contact the business owner directly outside of the Platform
  • Not use the information for any purpose other than evaluating a potential acquisition
  • The agreement remains in force for 24 months from the date of signing

The signed NCNDA is stored against the buyer's account with a timestamp, the buyer's name, their IP address, and the version of the agreement that was signed. This creates a verifiable record for both parties.

Messaging Restrictions

The Platform's messaging system automatically blocks the following from being sent in any conversation:

  • Phone numbers (detected by number patterns)
  • Email addresses
  • External website links

When a message containing prohibited content is submitted:

  • The message is blocked and not delivered
  • The sender receives a warning
  • The attempt is logged with the sender's ID, the inquiry ID, the content type, and a timestamp
  • The log is visible to Platform admins

There is no suspension for a first attempt. Repeated attempts are escalated for admin review.

Document and File Security

Documents and files uploaded to listings are stored securely on the Platform's server. They are not publicly accessible by URL. Access is controlled as follows:

  • For Simple Sale listings, documents are accessible to logged-in buyers who have been granted access
  • For Detailed Sale listings, documents require NCNDA signing and may require additional admin approval before being released to a specific buyer
  • Admin staff can access all documents for the purpose of listing review and moderation

Admin Access to Information

Platform admins have access to listing content, messages, and user activity for the purpose of:

  • Reviewing listings before approval
  • Supporting Detailed Sale transactions
  • Moderating the Platform and enforcing policies
  • Investigating reports of fraud, misuse, or policy violations

Admin access is limited to authorised staff and is not used for commercial purposes beyond operating the Platform.

Buyer Responsibilities

Buyers who access confidential information through the Platform — whether through logged-in access or NCNDA-gated access — are responsible for:

  • Treating the information as confidential
  • Not disclosing the information to third parties
  • Not using the information to contact the seller outside the Platform during the active process
  • Honouring the terms of any NCNDA signed

Breach of these responsibilities may result in account suspension and, in cases of material harm to a seller, potential legal action.
